1. Introduction
These Terms and Conditions (the “Terms”) form a binding agreement between you, the organisation you represent (the “Client” or “you”), and WE Interactive Pte. Ltd. (“WE Interactive”, “we”, “us”, or “our”) in respect of your access to and use of the Beacon platform and the related maintenance and support services (collectively, the “Services”).
By accessing or using the Services, by accepting a digital agreement on the platform, or by continuing to use a paid subscription, you confirm that you have read, understood, and agreed to these Terms.
2. Eligibility and Authority
The Services are intended for use by businesses and organisations. By creating an account or accepting an agreement on behalf of a company, you represent and warrant that you are at least 18 years old and that you have the authority to bind that company to these Terms and to any service agreement you accept.
3. Account Registration and Security
You are responsible for providing accurate and current information when creating an account, for keeping your login credentials confidential, and for all activity that occurs under your account. You agree to notify us promptly of any unauthorised use or suspected security breach involving your account.
4. Service Plans
We offer different subscription plans, each with its own scope, included support hours, response targets, and pricing. The specific entitlements that apply to your account are those described in the plan you have accepted at the time of purchase, as reflected in your account dashboard and digital agreement.
5. Digital Agreement Acceptance
When you subscribe to a plan, you accept a digital agreement that records the plan, billing cycle, price, applicable tax treatment, and other key terms in effect at that time. The digital agreement, together with these Terms and our Privacy Policy, governs your use of the Services. We retain a record of each accepted agreement for compliance and audit purposes.
6. Billing and Payment
Fees are payable in Singapore Dollars (SGD) unless otherwise agreed in writing. Depending on your account, payment may be collected by automatic card billing or by invoice with agreed payment terms. For invoice-based billing, payment is due by the date stated on the invoice. Late or unpaid amounts may result in the account being moved to a grace period or suspended in line with these Terms.
7. GST and Taxes
Prices displayed publicly for clients in Singapore are inclusive of Goods and Services Tax (GST) at the prevailing rate. Internally, billing records and invoices reflect the subtotal (ex-GST), the GST amount, and the total payable. For clients whose billing setup qualifies for a different tax treatment (for example, zero-rated international supplies), the applicable tax treatment will be confirmed by our finance team and reflected on your invoices. WE Interactive’s GST registration number is 200908851M.
8. Subscriptions and Auto-Renewal
Subscriptions renew automatically at the end of each billing period unless cancelled before the next renewal date. You may cancel at any time from your billing dashboard or by contacting us. Cancellation takes effect at the end of the current paid period; fees already paid for the current period are non-refundable except where required by law.
9. Support Requests and Service Handling
Support requests are submitted through Beacon and are triaged based on category, priority, and the response targets associated with your plan. Response targets refer to the time within which we will acknowledge or begin addressing a request, and are not guarantees of resolution time. Work that falls outside the standard scope of your plan may be subject to a tailored review and quote before any time is consumed.
10. Hours, Add-On Hours, Usage, and Expiry
Maintenance plans include a defined number of support hours per billing period. For monthly plans, a limited amount of unused hours may roll over to the following month, subject to the rollover cap stated in your plan; any unused rollover then expires. For annual plans, included hours are pooled into an annual hour bank that is valid through the end of the annual term and expires at the end of that term.
Add-on hour packs may be purchased for periods of higher activity. On monthly plans, add-on hours are valid for the current and following billing month by default. On annual plans, add-on hours are added to the annual hour bank and remain valid until the end of the contract term. Hour usage is tracked transparently in the platform.
11. Acceptable Use
You agree not to use the Services to (a) violate any applicable law or regulation; (b) infringe the rights of others; (c) attempt to gain unauthorised access to the platform or interfere with its operation; (d) introduce malicious code; or (e) use the Services in any manner that could damage, disable, or impair their performance or security.
12. Client Content and Materials
You retain ownership of all content, data, credentials, and materials you provide to us in connection with the Services (“Client Content”). You grant us a limited, non-exclusive licence to access, store, and use the Client Content solely to deliver the Services. You are responsible for ensuring you have the necessary rights and permissions in respect of Client Content shared with us.
13. Third-Party Services
The Services may rely on or interoperate with third-party platforms, hosting providers, content management systems, payment processors, and communication tools. We are not responsible for the availability, performance, terms, or policies of any third-party service. Your use of third-party services is governed by the relevant third party’s own terms.
14. Intellectual Property
The Beacon platform, including its software, design, and underlying technology, is owned by WE Interactive and protected by applicable intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to access and use the platform during your subscription term, solely for your internal business purposes. No rights are granted other than those expressly set out in these Terms.
15. Confidentiality
Each party agrees to treat as confidential any non-public information shared in connection with the Services, and to use such information only for the purposes of performing or receiving the Services. This obligation does not apply to information that is or becomes publicly available through no breach of these Terms, or that is required to be disclosed by law or regulation.
16. Privacy and Data Protection
Our handling of personal data is described in our Privacy Policy, which forms part of these Terms. By using the Services, you acknowledge the practices described there.
17. Availability and Maintenance
We aim to keep the platform available at all times but cannot guarantee uninterrupted access. The Services may be temporarily unavailable due to scheduled maintenance, updates, or events outside our reasonable control. We will use reasonable efforts to minimise disruption and, where practical, provide advance notice of planned maintenance.
18. Disclaimers
Except as expressly stated in these Terms, the Services are provided on an “as is” and “as available” basis. To the maximum extent permitted by law, we disclaim all other warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be error-free or that defects will be corrected immediately.
19. Limitation of Liability
To the maximum extent permitted by law, WE Interactive shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or business opportunities, arising out of or in connection with the Services. Our aggregate liability arising out of or in connection with the Services in any 12-month period shall not exceed the total fees paid by you to us for the Services during that 12-month period.
20. Indemnity
You agree to indemnify and hold harmless WE Interactive and its personnel from any third-party claims, losses, or expenses arising out of (a) your breach of these Terms; (b) your misuse of the Services; or (c) Client Content that infringes the rights of any third party.
21. Suspension and Termination
We may suspend or terminate your access to the Services if you breach these Terms, fail to pay amounts due, or use the Services in a manner that creates risk to us, our other clients, or third parties. You may terminate your subscription at any time as described in Section 8. Sections of these Terms that by their nature should survive termination will continue to apply.
22. Changes to These Terms
We may update these Terms from time to time to reflect changes in our Services, legal requirements, or business practices. Where changes are material, we will notify you through the platform or by email. Your continued use of the Services after the effective date of the updated Terms constitutes acceptance of the changes.
23. Governing Law and Jurisdiction
These Terms are governed by the laws of Singapore. The parties submit to the exclusive jurisdiction of the courts of Singapore in respect of any dispute arising out of or in connection with these Terms or the Services.
